1. ENGAGEMENT AND SERVICES

2. COMPENSATION

3. WORK MADE FOR HIRE & IP ASSIGNMENT
(a) Work for Hire: To the maximum extent permitted by law, all deliverables, code, designs, documentation, and work product created by Contractor under this Agreement (the "Work Product") shall be deemed "work made for hire" under the United States Copyright Act and international copyright treaties.
(b) Present Absolute Assignment: To the extent any Work Product does not qualify as a work made for hire, Contractor hereby unconditionally and irrevocably assigns, transfers, and conveys to Company all right, title, and interest worldwide in and to the Work Product, including all patents, copyrights, trade secrets, trademarks, and moral rights.
(c) Power of Attorney: Contractor irrevocably designates and appoints Company and its authorized officers as Contractor's agent and attorney-in-fact to execute documents and perform all lawful acts necessary to perfect Company's intellectual property ownership.
4. CONFIDENTIALITY
Contractor agrees to hold in strict confidence all non-public information, source code, business plans, customer data, and financial records of Company ("Confidential Information"). Contractor shall not disclose Confidential Information to any third party during or after the term of this Agreement without prior written consent.
5. NON-SOLICITATION
During the term of this Agreement and for a period of [NON_SOLICIT_MONTHS: e.g. 12] months thereafter, Contractor shall not directly or indirectly induce or solicit any employee, independent contractor, or customer of Company to terminate their relationship with Company.
6. WARRANTIES & INDEMNITY
Contractor represents and warrants that all Work Product delivered shall be original and will not infringe any third-party intellectual property rights. Contractor agrees to defend and indemnify Company against any third-party claims arising from a breach of this warranty.
7. INDEPENDENT CONTRACTOR STATUS
Contractor is an independent contractor and is not an employee, agent, or partner of Company. Contractor is solely responsible for all federal, state, and local taxes, insurance, and benefits.
8. GOVERNING LAW
This Agreement shall be governed by, and construed in accordance with, the laws of the State of [GOVERNING_STATE], without giving effect to conflict of laws principles.
